Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Nexus AI platform, including its orchestration system, x402-based execution flows, interfaces, documentation, and related services (collectively, the "Services").

By accessing or using Nexus AI, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

Description of the Services

Nexus AI provides a decentralized orchestration layer for autonomous intelligence execution. The Services include:

  • Orchestration of structured AI execution workflows
  • Coordination of specialized AI capabilities and agents
  • Execution settlement through the x402 protocol
  • Developer tools, documentation, and interfaces
  • Integration with public blockchain networks for execution settlement

Nexus AI operates as execution infrastructure and orchestration software. Nexus does not act as a custodian, broker, escrow, or financial intermediary.

Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use the Services.

By using Nexus AI, you represent and warrant that:

  • You meet all eligibility requirements
  • Your use complies with applicable laws and regulations in your jurisdiction

Non-Custodial Nature of Nexus

IMPORTANT: Nexus AI is non-custodial.

Nexus does not:

  • Hold or store private keys
  • Control wallets or digital assets
  • Execute payments on behalf of users
  • Act as an escrow or intermediary

All payments and settlements occur peer-to-peer through blockchain networks using x402. You are solely responsible for securing your wallet, private keys, and assets.

Loss of private keys may result in permanent loss of funds.

User Responsibilities

When using Nexus AI, you agree to:

  • Provide accurate and truthful information
  • Secure and manage your wallet and private keys
  • Review execution parameters and costs before approval
  • Comply with all applicable laws and regulations
  • Use the Services only for lawful purposes
  • Not interfere with, exploit, or disrupt the platform
  • Not attempt unauthorized access or reverse engineering
  • Respect intellectual property and usage rights
  • Understand that blockchain transactions are irreversible

Execution & Blockchain Transactions

All execution settlements are processed on public blockchains and are subject to:

  • Network fees (gas fees)
  • Network congestion and variable confirmation times
  • Irreversibility of transactions
  • Public and immutable transaction records
  • Smart contract and protocol risks

You acknowledge that Nexus AI does not control blockchain networks, is not responsible for failed or delayed transactions, and cannot reverse or modify blockchain activity.

Execution Costs & Payments

Execution costs are determined programmatically through x402 and disclosed before execution.

You agree that:

  • Execution pricing may vary based on task complexity and conditions
  • You are responsible for all execution costs and network fees
  • Nexus may introduce platform-level fees in the future with notice

All execution settlements are final once confirmed on-chain.

Capabilities, Agents & Third-Party Execution

Nexus coordinates execution across independent capabilities and agents. You acknowledge that:

  • Capabilities may be provided by third parties
  • Nexus does not guarantee performance, accuracy, or outcomes
  • Execution results depend on participating agents and conditions
  • Nexus is not responsible for third-party capability behavior

Intellectual Property

All Nexus AI software, interfaces, branding, design, and documentation are owned by Nexus AI or its licensors and are protected by intellectual property laws. You may not copy, modify, or distribute the platform, reverse engineer or extract source code, use Nexus branding without permission, or remove proprietary notices. User-generated content and execution outputs remain the responsibility of the user, subject to applicable laws.

IMPORTANT DISCLAIMER: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND.

NEXUS AI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Fitness for a particular purpose
  • Uninterrupted or error-free execution
  • Accuracy or reliability of results
  • Availability of agents or capabilities
  • Blockchain network performance
  • Regulatory compliance in your jurisdiction

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUS AI SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, or consequential damages
  • Loss of funds, profits, data, or opportunity
  • Failed or delayed blockchain transactions
  • Wallet compromise or key loss
  • Third-party capability failures
  • Smart contract bugs or exploits
  • Regulatory or legal consequences

Total liability shall not exceed $100 USD or the amount paid to Nexus AI in the past 12 months, whichever is greater.

Indemnification

You agree to indemnify and hold harmless Nexus AI from any claims, damages, liabilities, or expenses arising from:

  • Your use of the Services
  • Violation of these Terms
  • Violation of applicable laws
  • Infringement of third-party rights

Risk Acknowledgment

You acknowledge and accept the risks associated with:

  • Blockchain technology
  • Irreversible transactions
  • Cryptocurrency volatility
  • Smart contract vulnerabilities
  • Regulatory uncertainty
  • Autonomous execution behavior

You use Nexus AI at your own risk.

Termination

Nexus AI may suspend or terminate access to the Services at any time, with or without notice, for violation of these Terms or at our discretion. You may discontinue use at any time. Sections that by nature should survive termination shall survive.

Dispute Resolution

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration, unless prohibited by law. You waive the right to participate in class actions.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Changes to These Terms

We may update these Terms from time to time. Changes are effective upon posting with an updated date. Continued use of the Services constitutes acceptance of the updated Terms.
